Name and headquarters of the association
§1. An association under the name "Association Noé21" is incorporated under the Articles 60ss of the Swiss Civil Code. Its headquarters are at 19 quai Charles Page in Geneva.
Purpose of the association
§2. The association is nonprofit. The association has the goal to establish a center of competence and action to solutions to the problem of climate change. In particular, the association emphasizes behavioral changes, technological solutions and innovative market instruments.
Membre
§3. Some individual persons and associations can become members of the association. The amount of contributions is fixed by management.
Financial resources
§4. The association is funded by: a) membership contributions, b) donations, c) the services invoiced. Accounts of the association following the calendar year. Only the assets of the association ensures the obligations of the association.
§5. In the event that the association is dissolved, the assets should be allotted to a non-profit organisation pursuing goal of public interest similar to those of the organisation benefiting from tax exemption. The goods cannot be returned to the founders or members, nor be used to their own profit.
Bodies of the Association
§6. The governing bodies of the association are: a) the assembly of members ; b) the management ; c) the auditors.
Member's meeting
§ 7. The members' meeting is called by management at least once a year. It may also be convened at the request of one fifth of the members of the association. The convocation is made in writing, three weeks in advance, specifying the agenda. It elects the president, secretary and treasurer of the management and two auditors.
The management
§ 8. The three elected members of management take important decisions by mutual agreement. They can partner with others to form a steering committee. The members of management are volunteers.
Final provisions
§ 9. The questions not regulated by these statutes are treated according to the provisions of Articles 60ss of the Swiss Civil Code.
